Chapter One.
General Provisions
Article 1. Name: China Pharmaceutical Industry Association (CPIA)
Article 2. CPIA is a national industrial society and a non-profit
social organization as well. It is composed of large and medium-
sized enterprises engaged in pharmaceutical industry and other accessory
industries like pharmaceutical machinery industry and glass container
industry, provincial and municipal pharmaceutical industrial companies,
local associations, pharmaceutical research and designing institute,
universities and technical secondary schools etc.
Article 3. The purposes of CPIA are to make services for member
enterprises; to vindicate their lawful rights and interests; to
communicate the instructions of the higher level and promote the
healthy development of the pharmaceutical industry so as to build
economic reform of socialism market and carry out the policy of
science initiate drug.
Article 4. CPIA is an juridical person of association approved
and registered with Ministry of Civil Affairs under the State Council.
Its business will controlled by SDA and guided by Ministry of Civil
Affairs. CPIA will develop domestic(international) interchange and
cooperation of economic, scientific, talented person and so on under
SDA and Ministry of Civil Affairs.
Article 5. As a tie between the government and enterprises, CPIA
not only plays the role of an assistant and adviser of the government,
but also is in charge of the part administration in pharmaceutical
field entrusted by the governmental departments.
Article 6. CPIA is set up in Beijing.
Chapter Two. Tasks
Article 7. Task of CPIA
1 .CPIA carries out the relevant general and specific policies,
laws and regulations of our country, makes the desires and requirements
of the members of CPIA known to the government and communicates
the instructions and intentions of the government to the members.
2.To collect, make statistics of and sort out the basic materials
of the trade; to investigate, analyze and exchange the main situations
of pharmaceutical industry; to study and put forward the proposals
for the developing programme and major technical and economic policies,
laws and regulations of the trade; to assist the government to lay
down the technical standards of the trade, quota and the quality
index of the products which will catch up with and surpass the world
advanced levels.
3.To coordinate the conflicts which occur between the members in
production, management, technical cooperation and market competition;
to promote the technical progress and raise managerial level of
enterprises.
4.To organize and coordinate the sales, import and export etc.;
to put forward reasonable proposals concerning marketing and prices,
etc. To the government departments concerned and to protect lawful
rights and interest of the members from infringement.
5.To offer consulting services for technical innovation, technical
introduction and productive management and marketing etc. of enterprises
and release in time the technical, economic and market information
inside or outside China to direct the enterprises production and
management.
6.To organize the development, population and application of new
products, new technologies, new techniques, new equipment and new
type of raw and auxiliary materials; to organize activities of exchange,
comparison and appraisal of techniques and quality, and recommend
outstanding enterprises and high-quality products of different grades.
7.To organize lectures and training courses concerning technique,
quality control and management, etc. in various forms and help member
enterprises to train personnel in specific fields to enhance the
accomplishments of staffand workers.
8.To develop international contacts actively, enlarge the international
technical and economic exchange and cooperation and develop the
foreign trade; to study and coordinate the conflicts which occur
in import and export of techniques and products so as to make enterprises
of the whole trade form a unified position towards the outside world
and to well organize the digestion, absorption, enhancement and
transfer of new techniques, etc. introduced from abroad.
9.To organize the member enterprises of CPIA to work out the trade
regulations and agreements and supervise their complying with them.
10.To undertake relevant matters entrusted by the government department.
Chapter Three. Memebership
Article 8. CPIA is an unit members, namely group members, and will
not accept any individuals as its members.
Article 9. Any enterprises engaged in pharmaceutical industry or
making necessary accessory services for the trade and with corporate
capacity as well as any relevant scientific research and designing
units, universities, colleges, secondary technical schools and social
organizations who recognize the constitution of CPIA, conform with
the following conditions, apply for a membership and are approved
by CPIA, may respectively become group members and accept an certification
of members.
1 .Regional trade associations approved to set up by the competent
departments of municipalities responsible for the work or above
that level(municipalities shall be the ones directly controlled
by the central government).
2.The enterprises whose fixed assets are worth at least 10 million
yuan (original value) or whose total value of annual industrial
output is above 10 million yuan. The enterprises which are not up
to the above mentioned requirement and do not belong to pharmaceutical
trade may become group members at CPIA's discretion.
3.Institutions, provincial and municipal pharmaceutical industrial
corporations and business enterprises belonging to industrial sectors
are out of the restriction of the 2nd regulation when they apply
for the membership.
4.The members of the regional trade associations who are in conformity
with the 2nd regulation may also apply for the membership of CPIA.
Article 10. Rights of Members
1 .To enjoy the rights of vote, election and being elected.
2.To enjoy the rights of making suggestions to and criticizing
the work of CPIA.
3.To enjoy the prior and preferential right of obtaining the transfer
of new techniques and new products, etc.
4.To enjoy the prior rights of obtaining various information, materials
and publications issued by CPIA.
5.To enjoy the rights of protecting their lawful rights and interests
from infringement.
6.To enjoy the prior rights to participate in various academic
and training activities of CPIA.
Article 11. Duties of Members
1 .To comply with the constitution of CPIA and implement the resolutions
of CPIA.
2.To safeguard the lawful rights and interests of CPIA.
3.To accomplish the tasks entrusted by CPIA.
4.To pay membership dues according to the regulations.
5.To put forward suggestions to CPIA.
6.To provide in times various technical and economic materials
and information stipulated by CPIA.
Article 12.If a member is going to withdraw from CPIA,a written
statement shall be made. When the statement is entered into the
records of Board Directors,its membership is canceled at once.
Article 13.The membership of those who not perfoem the duties of
a member and will not charge their position after exhortation shall
be canceled with the decision of Board Directors and recall membership
card.
