Chapter Four.
Organizing Institution & Electing or Recalling the Person in
Charge
Article 14. The highest right institute of CPIA is members'conference.
The members' conference of CPIA is held every four years and called
by Board of Directors. When above half of the members of CPIA regard
it necessary or when some special things occour, a temporary conference
may be held after the decision made by Board of Directors and examed
or approved by the government department and Ministry of Civil Affairs.
The time of change session can't be surpassed one year.
Article 15. Functions and powers of the Members' Congress
1 .To draw up and revise constitution or regulations.
2.To define the guiding principles of the work and task of CPIA.
3.To examine the financial revenue and expenditure of CPIA.
4.To elect members of Board of Directors and to elect or recall
directors.
5.To decide the end of matters.
Article 16. Board of Directors is an executive body of members
congress. During the members conference Board of Directors lead
the members congress to work and be responsible for it. The tenure
of office lasts four years. The board meeting is held once a year
and called by the president. A temporary meeting may be called if
tow third directors be present.
Article 17. Functions and powers of Board of Directors
1 .To elect president and vice-president.
2.To invite hononary president and advisors.
3.To implement the resolutions of Member's Congress.
4.To work out the working plan of CPIA.
5.To appoint the secretary-general.
6.To lead the functioning organizations to carry on their work.
7.To be responsible for calling the Members' Congress and preparing
for working report, financial report and the relevant documents
of the Members Congress, which shall be reported at the Members'
Congress.
8.To decide to recruit or remove the member.
9.To decide to set up administrative body, branch body, representive
body and physical body.
10.To work out management regulations.
11 .To decide other large matters.
Article 18. Person in charge of CPIA
1 .President and Vice-President, elected through Board of Directors,
must have rich experience in pharmaceutical trade and their age
can't be over 70 years old. If President or Vice-President is recalled,
it must be voted through tow third directors and then sent to the
Members' Congress to consider.
2.If Secretary General or Vice Secretary General is appointed or
recalled, first President put forward the proposal to the department
that responsible for the work and then be voted through by Board
of Directors.
3 .Rights of President
a. To call Board of Directors and the Members Congress.
b. To exame the conditions about how the resolution of the Members
Congress and Board of Directors has been carried out.
c.To sign some important document of CPIA.
d. To lead the work of resident office.
4.President of CPIA is the corporate body and can't hold a concurent
post of other corporate body.
5.Rights of Secretary General
a. To take charge of routine matters of secretariate and enforce
the plan of annual work.
b. To coordinate the works among branch body and physical body.
c.To deal with day to day work.
Article 19. CPIA sets up a certain number of functioning departments
as its administrative according to the principle of streamlining
the organization.
Article 20. Specialized branches and committee may be set up if
necessary. The form of special branch and committee, the plan of
changing, and the person responsible for administrative body will
be firstly approved by CPIA and then be examed by special branch
and committee.
Chapter Five. Financial Management & Spending
Article 21. The resources of funds:
1 .Income from membership dues.
2.Income from various technical consulting services and publications
and materials published by CPIA.
3.Government subsides and financial aid and contributions by the
units concerned.
4.Interests.
Article 22. Financial management
1 .To draw up strict rules of financial management and guarantee
the legal, true, accuracy and complete of accounting materials.
2.Accountant must possess special qualification and can't hold
a concurrent post of cashier. If accountant is transferred to another
post he must hand over all the work to the person who will take
over.
3.To carry out the relevant regulations of Ministry of Civil Affairs
and Ministry of Finance and accept the supervision of Members'
Congress and relevant departments of government.
Article 23. Spending of funds.
l.Expenses for the business scope and development of cause appointed
in the constitution and can't be distributed among the memberships.
2.Wages bonuses and welfare funds for the working staffaccording
to the regulations of institution.
3.Other expenses for carrying out the work of CPIA.
Chapter Six. Procedure of Revising Constitution
Article 24. If the Constitution of CPIA needs to be revised, first
Board of Directors must put forward the revised details to be discussed
by the Members Congress in 15 days, and then submit them to the
government department for examination. The present constitution
comes into force after the examination and approval of Ministry
of Civil Affairs.
Chapter Seven. End Procedure & Financial Handling after
End
Article 25.IfCPIA is ended Board of Directors must put forward
the end motion. After the Members Congress discussed it and then
submit to the government department for examination and approval.
Ministry of Civil Affair will cancell the registration. The property
of CPIA will be handled according to the relevant rules of state.
Chapter Eight. Appendix
Article 26. The rights of interpretation of the present constitution
belongs to Board of Directors of CPIA.
Article 27. The present constitution comes into force after the
examination and approval of Ministry of Civil Affairs.
